SUMMARY OF EXPERIENCE
Steve Samuels is a Partner in the Business / Management Advisory Services practice group. He is highly experienced in the following areas:
Mergers and Acquisitions
Hedge, private equity and venture capital funds, as well as high net worth angel investors rely on Mr. Samuels as a member of the acquisition analysis team. He assists the acquirer in the due diligence process by analyzing financial statements and related documentation. Mr. Samuels also addresses areas of risk, identifies tax considerations and provides post-acquisition integration planning.
Business Advisory and Consulting
Business owners rely on Mr. Samuels when facing difficult strategic decisions intended to take the company to the "next level." Relocation, expansion, outsourcing or new product development are a few examples where Mr. Samuels works closely with the management team to assist with projections, financing options, and their business advisory needs. He also assists in the development of business plans and private offering memorandum.
Financial and Loan Advisory
External financing is frequently required to fund strategic corporate growth. Mr. Samuels works closely with CEOs, CFOs and other key executives to identify and evaluate capital sources. He acts as liaison and facilitates the loan approval or equity infusion process.
Insurance Analysis
Mr. Samuels serves as an independent, trusted adviser in the area of securing insurance coverage. He obtains quotes, analyzes terms, scrutinizes coverage and identifies possible areas of exposure in the acquisition of commercial; property and casualty; Directors & Officers (D&O) liability insurance; health care; workers compensation; kidnapping and ransom; and other specialty coverage. Mr. Samuels is experienced in working with reinsurers, co-insurers and offshore captive carriers.
Additionally, Mr. Samuels is experienced in:
- Litigation support for tax-related criminal, IRS and divorce matters
- Accounting policies, procedures and systems integration
- Tax planning involving M&A, as well as for individuals or businesses
Mr. Samuels joined the firm in 2007. He was previously a Partner with Rachlin Cohen & Holtz LLP in the firm's Tax and Business Consulting, and Advisory Services divisions.
